Sayenko Kharenko advised Cookson Group on corporate restructuring
Sayenko Kharenko acted as a legal counsel to Cookson Group on its corporate restructuring involving Ukrainian subsidiaries.
Corporate restructuring of Cookson Group was a part of the announced demerger of Cookson Group Plc. (the Group) by separating the Group’s performance material business and creation of two business groups held by Vesuvius Plc. and Alent Plc., each to be further listed at the premium listing segment of the Official List of the London Stock Exchange.
The entire transaction was effected by various legal counsels in a number of foreign jurisdictions and was generally led by Linklaters advising, among others, on English law matters. Sayenko Kharenko provided legal advice on corporate, tax and antimonopoly issues related to the corporate restructuring in Ukraine along with transaction structuring and performance of all actions required for its successful implementation.
